The purpose of the project is to contribute to the academic debate and the legislative approach to the regulation of companies and markets so as to contribute to sustainable development, both as regards economic development and as regards the environmenta l dimension of sustainable development. The project shall firstly critically assess the Takeover Directive's objectives and their achievement, and the actual impact the Takeover Directive regime has had on the economy, internal market, market players and participants, and secondly whether and how the Takeover Directive regime responds to and reflects the Union's overarching goal of sustainable development. The topic of the project encompasses a legal analysis and critical assessment of the Takeover Direc tive's rules and objectives as such, the Takeover Directive's transposition in selected MS, and a comparative perspective, focussing on the equivalent regulation in the USA. The seminar and workshop in June 2012 will be central to the project in terms of the presentation of research results of the first phase and of establishing a new scholarly network with a German-Norwegian centre for advanced research in the realm of EU financial market law, particularly mergers and acquisitions. The applicants will i nvite select scholars to participate in the research of the project. The seminar on the first day will be open to practitioners as well as scholars, for discussion and the presentation of papers as a starting point. The second day will be a closed worksho p for the scholars involved in the project, where the core issues of the project will be analysed further, based on the presentations and discussion at the preceding seminar.
